Developer Terms

Last updated: 19 October 2026

1. Who these terms are between

1.1. These terms are an agreement between you and Almog Harari, an Israeli exempt dealer (Osek Patur) trading as Almudio ("Almudio"). If the business moves to an Israeli company, these terms may be transferred to it under section 23.3.

1.2. "You" means the person or company that subscribes to Almudio Licensing. If you accept these terms for a company, you confirm you have authority to bind that company.

1.3. Before you pay for your first subscription, you must tick a box confirming that you have read and accept these terms, the DPA and the refund rules in section 5.6. Your acceptance, the date and time, and the version of these terms you accepted are recorded. These terms then apply from the moment your first subscription payment succeeds.

1.4. The Service is for businesses only. By subscribing, you confirm that you are acting for the purposes of your trade, business or profession, for example selling or distributing software, and not as a consumer.

2. Definitions

2.1. "Service" means Almudio Licensing, the hosted licensing service described in section 3, including the owner console, the read-only API and the local console.

2.2. "Buyer" means a person who buys, or starts a trial of, one of your products.

2.3. "Your payment service" means the payment or store service you connect to the Service, such as Paddle, Stripe, Lemon Squeezy, Gumroad, Polar, or a licence API.

2.4. "Active licence" means a licence that was sold, activated or checked in during the last 90 days. Trial licences and revoked licences do not count.

2.5. "Your data" means the data you or your buyers put into the Service, and the data the Service creates about your products, licences and buyers.

2.6. "DPA" means the Almudio Licensing Data Processing Agreement, which forms part of these terms.

3. The Service

3.1. The Service lets your audio plugins activate licences against Almudio's server. It includes:

  • creating a licence key for each sale made through your payment service;
  • revoking a licence automatically when your payment service reports a refund or chargeback;
  • activation per computer, with a seat limit you set;
  • free trials for your buyers;
  • a hosted buy page;
  • hosted installer downloads, up to 95 MB per file and 2 GB in total per developer account;
  • a lost-key lookup page for your buyers;
  • licence emails to your buyers;
  • an owner console;
  • data export in JSON and CSV at any time;
  • a read-only API;
  • a downloadable local console that you run on your own computer.

3.2. Licence emails are sent from noreply@almudio.com. They show your store name, and replies go to the support email address you give. You are responsible for answering your buyers.

3.3. Almudio does not take any share of your sales. Your buyers pay you through your payment service. Almudio is not a party to any sale between you and a buyer.

3.4. The local console is software you download and run on your own computer. Almudio gives you a non-exclusive, non-transferable licence to install and use it, only with the Service and only while your account is active. You must not copy it for others, modify it, or reverse engineer it, except where the law allows this and the right cannot be excluded. Third-party open-source parts of the local console are licensed under their own licences, listed in the software.

4. Your account

4.1. Your account is created automatically when your first subscription payment succeeds.

4.2. Keep your login details safe. You are responsible for activity under your account. Tell Almudio at support@almudio.com as soon as you suspect someone else has access.

4.3. Give accurate contact details and keep them up to date. Almudio sends service and billing notices to the owner email on your account.

5. Plans, prices and billing

5.1. Plans are billed monthly or yearly. Prices are in USD:

PlanMonthlyYearlyActive licences included
Starter$9$90up to 500
Advanced$29$290up to 2,000
Pro$69$690up to 5,000
EnterprisePro price plus $8 for each started block of 1,000 active licences above 5,000$690 a year plus $80 for each started block of 1,000 active licences above 5,000above 5,000

5.2. A yearly plan costs the same as ten months of the monthly plan.

5.3. There is no free trial of the Service for developers.

5.4. Almudio's order process is conducted by its online reseller Paddle.com. Paddle.com is the Merchant of Record for all Almudio Licensing orders. Paddle provides all customer service inquiries and handles returns. Paddle.com Market Ltd (or the Paddle entity named in Paddle's Buyer Terms for your location) sells these subscriptions to you, and Paddle's Buyer Terms (paddle.com/legal/checkout-buyer-terms) apply to your purchase and payment. Paddle issues your invoices and receipts and handles your payment method. Prices shown are in USD and exclude VAT, GST and sales tax, which Paddle adds at checkout where they apply.

5.5. Subscriptions renew automatically at the end of each billing period until you cancel.

5.6. Refunds. Almudio Licensing has no money-back guarantee. You can ask for a refund through Paddle at paddle.net or by emailing support@almudio.com. Apart from the rights described below, Almudio decides each refund request case by case. Paddle, as Merchant of Record, handles all refunds and may also issue a refund under its own Refund Policy (paddle.com/legal/refund-policy). If you are a consumer, you may have a legal right to withdraw from your purchase and get a refund, for example within 14 days in the EU, EEA, Switzerland, the UK or Israel. Nothing in these terms limits a right you have under law that cannot be excluded. If you receive a refund, your subscription ends and section 8 applies. The refund rules in this section are also published as a separate refund policy page on almudio.com, linked from checkout.

5.7. Almudio may change prices. Almudio will give you at least 30 days' notice by email before a new price applies to you. A new price applies from your next billing period after the notice ends. If you do not want to pay the new price, you can cancel before it applies, and you will not be charged the new price.

6. Active licences and plan limits

6.1. Each plan includes a number of active licences (see section 5.1).

6.2. Going over your plan's limit never blocks your sales or your buyers' activations.

6.3. If you go over your plan's limit, Almudio may move you to the plan that fits your number of active licences. The move takes effect from your next billing period, and Almudio emails you at least 7 days before it. The email will name the new plan and its price. Before the move takes effect, you can reduce your active licences below your current limit, or cancel. If you do neither, you agree to the move and the new price.

7. Changing plans and cancelling

7.1. You can move to a higher or lower plan at any time. The change takes effect from your next billing period.

7.2. You can cancel at any time. Cancellation takes effect at the end of the period you have already paid for.

7.3. When cancellation takes effect, your account is suspended as described in section 8.

7.4. Switching to another service. If you are in the EU, you can ask to switch to another provider or to your own systems, or to have your data erased, at any time by emailing support@almudio.com. Your notice period is the shorter of two months and the time left in your current billing period. After it, a transitional period of up to 30 days starts, during which the Service keeps working and Almudio helps you move. Exportable data means all of your data described in section 13, in JSON and CSV. Licence signing keys stay with Almudio. Your data stays available for export for at least 30 days after the transitional period ends, and is then fully erased under section 13.3. Almudio does not charge for switching. When the switch is complete, your subscription ends and Almudio refunds the fees you paid in advance for the time after that.

8. Suspension when a subscription stops

8.1. Your account is suspended if your subscription is cancelled, paused, or your payment fails (past due).

8.2. While your account is suspended:

  • your existing buyers' licence checks and deactivations keep working;
  • data export in the owner console keeps working;
  • new sales, new activations, new trials, downloads and your buy page stop working.

8.3. Almudio does not create licence keys for new sales while your account is suspended. Sales received during a suspension are kept, and those buyers get their licence keys once your account is reactivated. While your account is suspended, buyers who have paid you do not receive their licence keys. This may break your own obligations to your buyers and to your payment service. Keeping your subscription active is your responsibility.

8.4. Reactivating your subscription lifts the suspension.

8.5. After your cancellation takes effect, your existing buyers' licence checks keep working for 90 days. Your account then ends, licence checks for your products stop, and your data is deleted under section 13.

9. How licence checks work for your buyers

9.1. Your plugin checks the licence on the buyer's computer. It contacts Almudio's server about once a week.

9.2. The plugin must reach the server at least once every 30 days. If it does not, the plugin asks the buyer to connect.

9.3. If the Service is unavailable, your buyers can keep using your plugins offline for up to 30 days from their last successful check.

10. Your responsibilities

10.1. You are responsible for:

  • your products, their content, and your right to sell and license them;
  • your own terms of sale, end-user licence and privacy notice for your buyers;
  • your contract with your payment service and its fees;
  • supporting your buyers, including refunds and licence questions;
  • setting up the Service correctly, including webhook secrets, API keys, products and seat limits;
  • complying with the laws that apply to your business, including data protection law for your buyers' data.

10.2. Your payment service is your choice and your own processor. It is not Almudio's sub-processor, and Almudio is not responsible for it.

10.3. Almudio relies on the information your payment service sends. If your payment service sends wrong or late information, licence keys may be created, revoked or delayed in error. Almudio is not responsible for that.

11. Acceptable use

11.1. You must not use the Service:

  • to distribute malware, or software that harms a buyer's computer or data;
  • to license software you do not own or do not have the right to license;
  • to reverse engineer, probe, overload or attack the Service, or to get around its limits or security;
  • to resell, sublicense or provide the Service to others as a service of your own;
  • to break any law.

11.2. Almudio may suspend your account, or part of it, if Almudio reasonably believes you are breaking this section. Where practical, Almudio will tell you first and give you a chance to fix the problem. Where Almudio reasonably believes urgent action is needed to protect buyers, the Service or anyone else, for example because your products contain malware or the Service is under attack, Almudio may suspend first and will tell you, with its reasons, as soon as practical afterwards.

12. Security

12.1. Almudio uses reasonable technical and organisational measures to protect your data. These include:

  • passwords stored only as hashes;
  • payment service secrets (webhook secrets and API keys) stored encrypted;
  • licences signed with Ed25519, with private signing keys stored encrypted and never leaving the server;
  • each developer's data kept separate, with automated tests that check one account cannot read another's.

12.2. Almudio does not promise that the Service can never be breached.

13. Your data, export and deletion

13.1. Your data belongs to you. You give Almudio permission to store, copy and process your data only as needed to run, secure and support the Service for you.

13.2. You can export your data in JSON and CSV at any time from the owner console.

13.3. Almudio deletes your data automatically 30 days after your account ends. Export anything you want to keep before then. Deleted data may remain in the database's automatic restore history for up to 30 more days, after which it can no longer be restored. Almudio uses that history only to recover from a technical failure, and if it ever restores it, Almudio deletes your data again.

13.4. The Service also deletes some records automatically:

  • rate-limit records (which hold IP addresses only as salted hashes) after 2 days;
  • raw webhook messages from your payment service, 90 days after they are processed;
  • licence emails in the sending queue after 90 days;
  • download links 30 days after they expire.

14. Personal data

14.1. For your buyers' personal data, you are the controller and Almudio is your processor. The DPA sets out how Almudio handles that data and forms part of these terms.

14.2. For your own account data, such as the owner email, store name, support email, password hash and sessions, Almudio is the controller. The Almudio Privacy Policy (almudio.com/privacy) explains how Almudio handles it.

15. Intellectual property

15.1. Almudio owns the Service, including its software, the local console, its design and its documentation. These terms give you a right to use the Service while your subscription is active. They do not transfer any ownership to you.

15.2. You own your products and your data.

15.3. If you send Almudio feedback or suggestions about the Service, Almudio may use them freely, without paying you and without any duty to you, and you will not get any ownership in the Service as a result.

16. Availability and changes to the Service

16.1. Almudio aims to keep the Service available, but does not guarantee any uptime level.

16.2. Almudio may need to take the Service offline for maintenance or for reasons outside its control. Section 9.3 explains how your buyers keep working during an outage.

16.3. Almudio may change, improve or remove features of the Service at any time. If a change removes the creation, activation or checking of licences for your products, or the data export, you can cancel and Almudio will refund the fees you paid in advance for the time after your cancellation.

17. Disclaimer

17.1. Except as stated in these terms, the Service is provided "as is" and "as available". To the extent the law allows, Almudio gives no other warranties or conditions, express or implied, including that the Service is fit for a particular purpose, will be uninterrupted, or will be error free. This does not exclude any warranty, condition or right that cannot be excluded by law.

18. Limitation of liability

18.1. To the extent the law allows, Almudio's total liability to you under or in connection with these terms and the DPA, taken together, is limited to the greater of (a) the fees you paid for the Service in the 12 months before the event that caused the claim and (b) US$500.

18.2. To the extent the law allows, Almudio is not liable for indirect or consequential loss, or for loss of profit, revenue, sales, data, goodwill or business opportunity.

18.3. Nothing in these terms or the DPA limits or excludes liability for fraud, for harm caused on purpose or in bad faith, for death or personal injury caused by negligence, or any other liability that cannot be limited or excluded by law. Nothing in these terms limits the rights your buyers have directly against Almudio under data protection law.

19. Indemnity

19.1. You will compensate Almudio for losses and reasonable legal costs from claims by third parties, including your buyers and authorities, to the extent they arise from your products, your sales, your breach of section 11, or your breach of data protection law. Almudio will tell you about the claim promptly, let you control the defence, and give you reasonable help at your cost. Almudio will not settle the claim without your consent, which you will not unreasonably refuse.

20. Ending these terms

20.1. You can end these terms by cancelling your subscription (section 7).

20.2. Almudio may end these terms or close your account if you seriously or repeatedly break them, or if Almudio stops offering the Service. Except where section 11.2 allows immediate action, Almudio will first tell you about the breach by email and give you 14 days to fix it, if it can be fixed. If Almudio stops offering the Service for reasons other than your breach, Almudio will give you at least 90 days' notice so you can move your buyers to another system, and refunds any fees you paid in advance for the time after the Service stops.

20.3. Sections 10, 13, 14, 15, 17, 18, 19, 22 and 23 survive after these terms end.

21. Changes to these terms

21.1. Almudio may update these terms. Almudio will email the owner email on your account when it does, and will show the new date at the top of these terms. A change takes effect when the email is sent, unless the email gives a later date. If you do not agree to a change, you can cancel your subscription within 30 days of the email. If you do, Almudio refunds the fees you paid in advance for the time after your cancellation takes effect. If you keep using the Service after those 30 days, the updated terms apply to you.

22. Governing law and courts

22.1. These terms are governed by the laws of the State of Israel.

22.2. The competent courts in Tel Aviv-Jaffa, Israel have exclusive jurisdiction over any dispute arising from these terms. If you are a consumer, this does not take away any mandatory right you have under the law of the country where you live, including the right to bring proceedings there.

23. General

23.1. These terms, the DPA and any order through Paddle are the whole agreement between you and Almudio about the Service.

23.2. If any part of these terms is found unenforceable, the rest stays in force.

23.3. You may not transfer these terms without Almudio's written consent. Almudio may transfer these terms and the DPA to a company controlled by Almog Harari, or to whoever takes over the Service, if that company takes on all of Almudio's obligations under them. Almudio will tell you by email. If you do not agree, you can cancel within 30 days of the email and Almudio will refund the fees you paid in advance for the time after your cancellation.

23.4. Neither party is liable for delays caused by events outside its reasonable control.

23.5. If Almudio does not enforce a right straight away, it can still enforce it later.

23.6. Notices. Almudio sends notices under these terms and the DPA by email to the owner email on your account. A notice counts as received 24 hours after it is sent, unless Almudio receives a bounce message. You send notices to support@almudio.com.
